These Website Terms of Use (“Terms”) govern your access to and use of the websites, webpages, documentation, developer materials, benchmarks, blog posts, marketing materials, public demos, playgrounds, model previews, and other online content or features made available by Zyphra Technologies, Inc. (“Zyphra,” “we,” “our,” or “us”) that link to these Terms, including https://www.zyphra.com/ (the “Site”).
By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
Relationship to Other Terms
These Terms apply to use of the Site.
If you create an account, access Zyphra Cloud, use Zyphra APIs, submit prompts or other data to Zyphra services, participate in a trial, add funds, or purchase Zyphra services, your use is governed by the applicable Zyphra Customer Agreement, Acceptable Use Policy, Data Processing Agreement, Order, and any other applicable agreement between you and Zyphra. If these Terms conflict with the Zyphra Customer Agreement regarding use of Zyphra Cloud or any Zyphra services, the Customer Agreement controls. Zyphra’s collection and use of personal information is described in the Zyphra Privacy Policy.
Use of the Site
You may use the Site for lawful business, informational, and evaluation purposes. You may not misuse the Site, interfere with its operation, attempt to gain unauthorized access to Zyphra systems, test or probe the security of the Site without written permission, transmit malware, scrape the Site in a manner that imposes unreasonable load, misrepresent your identity or affiliation, bypass usage limits or safety measures, or use the Site in violation of law.
Public Demos, Playgrounds, and Testing Features
Some parts of the Site may allow you to submit prompts, inputs, or other content to test Zyphra models, services, or features without creating an account or entering into a separate agreement. These features are provided for evaluation only. Do not submit confidential, personal, sensitive, regulated, production, or mission-critical information unless Zyphra expressly agrees otherwise in writing. Zyphra may log, monitor, review, store, and process demo and testing activity to operate the Site, provide responses, prevent abuse, maintain security, debug issues, analyze performance, improve reliability, and comply with law. Outputs may be inaccurate, incomplete, non-unique, or unsuitable for your use. You are responsible for evaluating outputs before relying on them. Public demos, playgrounds, and testing features are not intended for production use and do not create any service level agreement, performance commitment, support obligation, or other paid-service commitment.
Acceptable Use
You must comply with Zyphra’s Acceptable Use Policy when using public demos, playgrounds, model previews, or other interactive features. You may not use the Site, public demos, playgrounds, model previews, or outputs to violate law, harm others, interfere with Zyphra systems, attempt unauthorized access, bypass safety measures, or engage in activity prohibited by Zyphra’s Acceptable Use Policy. You may not use the Site, public demos, playgrounds, model previews, or outputs to develop, train, test, or improve competing AI or machine learning systems except as expressly permitted by Zyphra in writing. Zyphra’s Acceptable Use Policy is available on the website.
Zyphra Materials
The Site may include text, graphics, logos, documentation, developer materials, API references, benchmarks, technical descriptions, software descriptions, model descriptions, blog posts, images, videos, and other content (“Zyphra Materials”). Zyphra and its licensors own all rights in the Site and Zyphra Materials. You may use Zyphra Materials only for lawful evaluation of Zyphra and its products and services, or as otherwise permitted by Zyphra in writing. You may use Zyphra documentation and developer materials as reasonably necessary to evaluate, integrate with, or use Zyphra services in accordance with the applicable Zyphra Customer Agreement and Documentation.
Benchmarks and Technical Information
The Site may include benchmarks, performance data, latency information, throughput information, pricing examples, technical descriptions, and other information about Zyphra services. This information is provided for informational purposes only. Actual results may vary based on model, workload, configuration, hardware, region, context length, concurrency, sampling parameters, software version, system load, and other factors. Nothing on the Site creates a warranty, service level agreement, performance commitment, roadmap commitment, or other binding obligation unless expressly stated in a written agreement accepted by Zyphra.
Third-Party Materials and Links
The Site may reference or link to third-party websites, services, models, software, hardware, infrastructure providers, open-source projects, or other third-party materials. Zyphra does not control and is not responsible for third-party materials, websites, services, or practices. Third-party names, logos, trademarks, and product names are the property of their respective owners.
Feedback
If you provide comments, ideas, suggestions, or other feedback about Zyphra, the Site, or Zyphra products or services, Zyphra may use that feedback without restriction or compensation to you. Feedback does not include Customer Data, prompts, outputs, models, weights, files, or other content submitted to Zyphra Cloud or Zyphra services under a Zyphra Customer Agreement.
Disclaimer
The Site, public demos, playgrounds, testing features, Zyphra Materials, and outputs are provided “as is” and “as available.” To the maximum extent permitted by law, Zyphra disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security. Zyphra does not warrant that the Site, public demos, playgrounds, testing features, Zyphra Materials, or outputs will be uninterrupted, error-free, secure, accurate, complete, current, or free of harmful components.
10. Limitation of Liability
To the maximum extent permitted by law, Zyphra will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, arising out of or relating to these Terms or your use of the Site, public demos, playgrounds, testing features, Zyphra Materials, or outputs. To the maximum extent permitted by law, Zyphra’s total liability arising out of or relating to these Terms, the Site, public demos, playgrounds, testing features, Zyphra Materials, or outputs will not exceed one hundred dollars ($100).
11. Changes to These Terms
Zyphra may update these Terms from time to time. The updated Terms will be effective when posted unless a later effective date is stated. Your continued use of the Site after the updated Terms become effective means you accept the updated Terms. Zyphra may modify, suspend, or discontinue the Site or any public demo, playground, testing feature, or online content at any time.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Site.
